LabIQ is a clinical decision support tool designed to assist healthcare providers. It does not replace professional medical judgment, clinical expertise, or the provider-patient relationship. All clinical decisions remain the sole responsibility of the treating healthcare provider.
1. Acceptance of Terms
By accessing or using LabIQ's clinical decision support platform and related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.
These Terms apply to all users of the Service, including healthcare providers, administrators, and any other individuals who access or use the Service.
2. Description of Service
LabIQ provides an AI-powered clinical decision support platform that assists healthcare providers with:
- Laboratory value analysis and interpretation
- Clinical pattern recognition
- Diagnosis suggestions based on lab findings
- Assessment and plan documentation generation
- Clinical screening tools and calculators
- Patient education materials

THE SERVICE IS A CLINICAL DECISION SUPPORT TOOL AND IS NOT INTENDED TO REPLACE PROFESSIONAL MEDICAL JUDGMENT, CLINICAL EXPERTISE, OR THE PROVIDER-PATIENT RELATIONSHIP.
- All clinical decisions remain the sole responsibility of the treating healthcare provider.
- AI-generated suggestions should be verified against current clinical guidelines and individual patient circumstances.
- The Service does not provide medical diagnoses or treatment recommendations.
- Healthcare providers must exercise independent professional judgment when using the Service.
4. Eligibility and Registration
The Service is intended for use by licensed healthcare providers and their authorized staff. By registering for an account, you represent and warrant that:
- You are a licensed healthcare provider or authorized to use the Service on behalf of a healthcare organization.
- You have the authority to bind your organization to these Terms.
- All information you provide during registration is accurate and complete.
- You will maintain the security of your account credentials.
5. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Service for any purpose other than legitimate clinical decision support.
- Upload false, misleading, or fraudulent information.
- Attempt to gain unauthorized access to any portion of the Service.
- Interfere with or disrupt the integrity or performance of the Service.
- Use the Service to violate any applicable laws or regulations, including HIPAA.
- Share your account credentials with unauthorized individuals.
- Use the Service to make clinical decisions without appropriate professional oversight.
6. Patient Data and Privacy
You are responsible for ensuring that your use of the Service complies with all applicable privacy laws and regulations, including HIPAA. You represent and warrant that:
- You have obtained all necessary consents and authorizations to upload patient data to the Service.
- You will use the Service in compliance with your organization's privacy policies and procedures.
- You will not upload patient data in violation of any applicable law or regulation.
Our collection and use of information is governed by our Privacy Policy.
7. Subscription and Payment
Access to the Service requires a paid subscription after the trial period. By subscribing, you agree that:
- Subscription fees are billed in advance on a monthly or annual basis.
- Your subscription will automatically renew unless cancelled before the renewal date.
- Refunds are provided in accordance with our refund policy.
- We may change subscription fees with 30 days' notice.
8. Intellectual Property
The Service and its original content, features, and functionality are owned by LabIQ and are protected by international copyright, trademark, and other intellectual property laws.
You retain ownership of any patient data you upload to the Service. By uploading data, you grant us a limited license to process that data to provide the Service.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LABIQ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Loss of profits, data, or goodwill
- Service interruption or computer damage
- Any damages arising from clinical decisions made using the Service
- Any damages arising from reliance on AI-generated suggestions
Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.
10. Indemnification
You agree to indemnify, defend, and hold harmless LabIQ and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any applicable laws or regulations
- Any clinical decisions you make using the Service
- Any claims by patients or third parties related to your use of the Service
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or completely secure. We do not warrant the accuracy, completeness, or usefulness of any AI-generated content.
12. Termination
We may terminate or suspend your account at any time, with or without cause, with or without notice. Upon termination, your right to use the Service will immediately cease.
You may terminate your account at any time by contacting us. Upon termination, you may request export of your data in accordance with our data retention policies.
13. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after any changes constitutes acceptance of the new Terms.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Delaware.
